Terms of Service

2. Acceptance

By accessing our website, requesting a quote, signing a proposal/invoice, installing our software, or using our hosted services, you agree to these Terms and our Privacy Policy.

If you use our services on behalf of a company, you confirm you are authorised to bind that company.

3. Products and services

Depending on your agreement, we may provide:

• licensed software for private installation;
• dedicated or managed hosting;
• WhatsApp Business Platform tooling using the official Meta Cloud API;
• ERP, POS, invoicing, and related business systems;
• implementation, training, and support.

Scope, fees, and deliverables are defined in your quotation, statement of work, or invoice.

4. WhatsApp / Meta services

• Our platform integrates with the official WhatsApp Business Platform (Meta Cloud API).
• Each client business is responsible for its own WhatsApp Business Account (WABA), phone number, Business Portfolio verification (where required), and compliance with Meta policies.
• Meta conversation and messaging fees are charged by Meta (or Meta’s billing path) to the relevant WhatsApp account owner — not replaced by IsherIQ’s software licence unless expressly stated in writing.
• You must not use unofficial WhatsApp automation methods through our platform.
• You are responsible for message content, template accuracy, consent for marketing messages, and honouring opt-out requests.
• IsherIQ may assist with Tech Provider / onboarding flows where available; Meta remains the network operator for WhatsApp delivery.

5. Accounts and access

You must keep login credentials secure and restrict access to authorised staff. You are responsible for activity under your accounts. Notify us promptly of suspected unauthorised access.

6. Client data and privacy

For private installs, business data typically remains on systems you control. For hosted services, we process data as described in our Privacy Policy and any data processing terms in your contract.

You warrant that you have a lawful basis to process customer personal data (including WhatsApp contacts) that you upload or connect to our systems.

7. Acceptable use

You must not use our services to:

• send spam, unlawful, deceptive, or harmful content;
• violate Meta, telecom, consumer, or data-protection laws;
• attempt to breach security or disrupt services;
• resell our software without a written partner agreement.

We may suspend access for serious or repeated violations.

8. Fees and payment

Fees are as quoted. Unless stated otherwise, invoices are payable as specified on the invoice. Late payment may pause support or hosted access. Third-party costs (domains, SMS, Meta WhatsApp fees, cloud VPS) may be billed separately.

9. Intellectual property

IsherIQ retains ownership of its software, designs, documentation, and trademarks, except for open-source components governed by their licences. You receive a licence to use the product as agreed. Your business data remains yours.

10. Warranties and liability

We provide services with reasonable skill and care. We do not warrant uninterrupted delivery of third-party networks (including Meta WhatsApp). To the maximum extent permitted by Tanzanian law, IsherIQ’s total liability arising from a claim is limited to fees paid for the affected service in the three (3) months preceding the claim, excluding death/personal injury or fraud where such limits cannot apply.

11. Termination

Either party may terminate as set out in the commercial agreement. On termination, you should export your data where tools allow; we may delete hosted data after a reasonable retention period unless law requires longer retention.

12. Changes

We may update these Terms. The “Last updated” date will change. Material changes for contracted clients will be communicated where appropriate. Continued use after notice may constitute acceptance.
